These Terms of Service (“Terms”) govern your access to and use of the software applications, websites, services, and related products (collectively, the “Service”) operated by Maintenance Intelligence Group, LLC (“MIG,” “we,” “us,” or “our”), including EquipFlow.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Acceptance of Terms
By creating an account, downloading, installing, accessing, or using the Service, you acknowledge that you have read, understood, and agreed to these Terms. You represent that you have the authority to bind yourself or your organization to these Terms.
2. Description of Service
The Service provides tools for asset identification, documentation, analysis, reporting, preventive maintenance planning, and related operational support using automated and artificial intelligence technologies. The Service is intended for business and professional use.
3. Eligibility
You must be at least 18 years old and legally capable of entering into contracts to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to do so.
4. Account Registration and Security
You agree to: provide accurate and complete information; maintain the confidentiality of your login credentials; and notify us immediately of unauthorized access. You are responsible for all activity under your account.
5. License and Permitted Use
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not: reverse engineer, copy, or modify the Service; resell, sublicense, or distribute the Service without authorization; use the Service unlawfully or fraudulently; or interfere with system security or integrity.
6. Fees and Payment
- Certain features require payment. You agree to pay all applicable fees according to your selected plan.
- Payments are processed through third-party providers. Fees are non-refundable except as required by law.
- Certain plans may include Usage Credits (credits, tokens, or scan allowances). These are non-transferable, have no cash value, and are not redeemable for cash.
- Unused Usage Credits are forfeited upon account termination or cancellation, except as required by law.
7. Data Ownership and Control
You retain ownership of your data. We do not claim ownership over user-generated content. Asset, maintenance, and operational data are primarily processed and stored on customer-controlled devices unless otherwise initiated by the user. You are responsible for maintaining backups of your data.
8. Artificial Intelligence and Generated Content
- 8.1 Use of Artificial Intelligence: The Service utilizes AI to analyze information and generate outputs. These outputs are produced using probabilistic models and are not guaranteed to be error-free.
- 8.2 No Professional Advice: Generated content is for informational purposes only and does not constitute engineering, regulatory, legal, or safety advice.
- 8.3 User Verification: You are solely responsible for validating all AI-generated content before reliance. You assume all risks associated with its use.
- 8.4 No Warranty: All AI-generated content is provided “as is” and “as available” without warranty of accuracy or completeness.
- 8.5 Limitation of Liability: MIG shall not be liable for damages arising from errors in AI-generated content or decisions made in reliance on it.
9. User Responsibilities
You agree to: use the Service lawfully; comply with industry regulations; verify all outputs; and protect system access. You are responsible for ensuring compliance with industry-specific regulations and ensuring unauthorized users do not access your account.
10. Third-Party Services
The Service may integrate with third-party providers. We are not responsible for third-party services or their content. Your use of such services is governed by their respective terms.
11. Intellectual Property
All software, designs, algorithms, trademarks, and documentation are owned by MIG or its licensors. Nothing in these Terms transfers intellectual property rights to you.
12. Confidentiality
You agree not to disclose proprietary, technical, or confidential information obtained through the Service without authorization.
13. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, and accuracy.
14. Limitation of Liability
To the maximum extent permitted by law, MIG shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
15. Indemnification
You agree to indemnify and hold MIG harmless from claims arising from your use of the Service, your violation of these Terms, or your regulatory or legal noncompliance.
16. Termination
We may suspend or terminate your access for violations. Upon termination, your license ends immediately, and unused Usage Credits are forfeited without compensation, except as required by law.
17. Modifications and Governing Law
- 17. Service Modifications: We may modify, suspend, or discontinue features at any time.
- 18. Governing Law: These Terms are governed by Oregon law, with exclusive venue in Deschutes County.
- 19. Dispute Resolution: Disputes may be resolved through binding arbitration at our discretion.
- 20. Changes: Continued use after updates constitutes acceptance of revised Terms.
